The Welsh Government is seeking to procure a Private Sector Delivery Partner to work with it on the delivery of education and community facilities throughout Wales, under a strategic partnering framework. A single Private Sector Delivery Partner (“PSDP”) is to be procured for Wales to form a joint venture company. The successful PSDP along with Welsh Government (“WG”) will be required to form a new Welsh Education Partnership Company (“WEPCo”) vehicle, which will deliver infrastructure services to WG, local authorities and further education institutions in Wales (the “Participants”). The Participants and WEPCo will enter into a Strategic Partnering Agreement (“SPA”). Under the SPA, WEPCo will be required to provide partnering services to the Participants, including: (i) project development and delivery; and (ii) supply chain assembly and management. The initial term of the partnering arrangement will be ten (10) years, with an optional five (5) year extension. Revenue funded, 21st Century Schools (Band B) Programme Mutual Investment Model (“MIM”) projects have been identified for delivery through the WEP Strategic Partnering Framework, on an “exclusive” basis. Participants will also have the option to deliver, design and build capital projects for education or community facilities through the arrangement, where these projects meet specific criteria. Community services could include, library services and other community based services to the public within Wales. MIM projects developed and approved under the SPA will be developed by the WEPCo but delivered by a newly formed special purpose vehicle project company (“ProjectCo”). The new special purpose vehicle, Project Co, will therefore enter into a project agreement with the relevant Participant to deliver the relevant MIM project, whilst WEPCo and/or its subsidiaries shall enter into agreements for the delivery of capital projects and/or FM services directly with the relevant Participant. The Project Agreement for education sector MIM projects and Design and Build Development Agreement for education sector projects will be based on templates contained within the SPA. The PSDP will be required to enter into a template form of WEPCo Shareholders' Agreement with WG and some or all of the Participants, to establish WEPCo. For MIM projects, ProjectCo, the PSDP and the public sector will also be required to enter into a template form of Project Co Shareholders' Agreement, to establish the relevant Project Co.
